End User License Agreement

This End User License Agreement (“Agreement” or “EULA”) is a binding legal agreement between you (“User,” “you,” or “your”) and VeriField Pro LLC (“Company,” “we,” “us,” or “our”), governing your use of the VeriField Pro MSHA platform, including the web application, mobile applications, and related services (collectively, the “Platform”).
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not access or use the Platform.
1. License Grant
Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes related to mine safety compliance under the Federal Mine Safety and Health Act of 1977 and regulations promulgated thereunder.
This license does not include the right to: (a) sublicense, sell, resell, lease, or otherwise distribute the Platform to any third party; (b) modify, adapt, or create derivative works of the Platform; (c) reverse engineer, decompile, or disassemble the Platform; or (d) use the Platform for any purpose other than its intended use.
2. Acceptable Use
You agree not to:
- Use the Platform to violate any applicable law or regulation, including MSHA regulations.
- Upload or transmit any malicious code, viruses, or harmful content.
- Attempt to gain unauthorised access to any portion of the Platform or any systems or networks connected to the Platform.
- Interfere with or disrupt the integrity or performance of the Platform.
- Use the Platform to store or transmit content that infringes on third-party intellectual property rights.
- Falsify safety records, inspection results, training records, or any other compliance data (commonly known as “pencil-whipping”).
- Share your account credentials with unauthorised individuals.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.
Administrators are responsible for managing user access within their organisation, including promptly deactivating accounts of individuals who are no longer authorised to use the Platform.
4. Intellectual Property
The Platform and all related content, features, and functionality (including but not limited to software, text, graphics, logos, and icons) are and shall remain the exclusive property of VeriField Pro LLC and its licensors. The Platform is protected by copyright, trademark, and other intellectual property laws.
“VeriField Pro,” the VeriField Pro logo, and related marks are trademarks of VeriField Pro LLC. You may not use these marks without our prior written consent.
5. Data Ownership
You retain all rights, title, and interest in and to your data, including inspection records, training records, hazard reports, incident reports, and other content you submit through the Platform (“Your Data”). We do not claim ownership of Your Data.
You grant us a limited license to use, process, and store Your Data solely for the purpose of providing, maintaining, and improving the Platform. We may use aggregated, de-identified data for analytics and product improvement purposes.
6. Third-Party Services
The Platform may integrate with or contain links to third-party services (e.g., weather data providers, mapping services). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party service.
7. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. You may terminate your use of the Platform at any time by discontinuing use and requesting account deletion.
Upon termination: (a) your license to use the Platform immediately ceases; (b) you must stop all use of the Platform; (c) we will retain Your Data for a reasonable period to allow you to export it, after which it will be deleted unless retention is required by law or regulation.
8. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. The Platform is a compliance assistance tool and does not constitute legal advice. You are solely responsible for ensuring your mining operations comply with all applicable MSHA regulations.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERIFIELD PRO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.
Our total liability for any claims arising from or related to this Agreement shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless VeriField Pro LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Platform; (b) your violation of this Agreement; (c) your violation of any third-party right, including intellectual property rights; or (d) any content you submit through the Platform.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.
12. Changes to This Agreement
We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Platform and updating the “Last updated” date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Agreement.
